SISQS LTD (TRADING AS ‘CHECKCALL’) REGISTERED NO. [INSERT] (REFERRED TO AS “SISQS”)
1.1 In the Contract:
"Approval" means the status provided to the Contractor where it has been assessed by SISQS and has satisfactorily met the required Approval Standards.
"Approval Date" has the meaning given to it in clause 5.11.
"Approval Logo" means the digital approval emblem or certificate provided by SISQS to Approved Members to verify their status, including CheckCall badges and system indicators.
"Approval Standards" means the assessment criteria that must be achieved by the Contractor in order to receive Approval (which are based on relevant UK safety, lone-working, and compliance standards).
"Approved Member" means a Contractor that is a current Member that has achieved and maintained Approval.
"Additional Term" means the additional 12 monthly periods for which the Contract may be automatically extended in accordance with clause 7.1 and clause 15.1.
"Application" means an application for assessment submitted by the Contractor to be awarded the Approval.
"Approved List" means a Client’s list of verified Members via CheckCall which may include the Contractor’s Approval status.
"Authorised User" means an individual whom the Contractor has authorised to have access to the CheckCall System and to whom credentials have been issued.
"Charges" means the charges for the Services as set by SISQS from time to time, including without limitation subscription fees, support fees, and additional usage charges.
"Client" means a party using CheckCall to monitor lone workers or verify Contractor status.
"Client Portal" means the dashboard interface provided to Clients to access the Approved List and/or Master List.
"Contractor" means the party who subscribes or agrees to subscribe to the CheckCall Services, subject always to clause 1.7.
"Conditions" means these terms and conditions of contract as amended in accordance with clause 2.2 and/or clause 16.3.
"Confidential Information" means in the case of either party all information (in any media) of a confidential nature disclosed by that party including but not limited to all technical or commercial know-how, specifications, processes, data, or initiatives.
"Connection" means a Client who has linked the Contractor to their Approved List within CheckCall.
"Contract" means the contract between SISQS and the Contractor for the provision of the Services comprising these Conditions.
"Documents" means any and all certification records, assessment forms, guides, digital reports, risk logs, and training logs uploaded by or provided on behalf of SISQS.
"Employees" means for the purposes of the Contract, the total number of workers, employees, lone workers, or agents used by the Contractor.
"Group" means in relation to a company, that company, any subsidiary or holding company, and any related entity.
"Initial Term" means the minimum term of one year commencing on the Membership Registration Date.
"IP" means intellectual property including all registered and unregistered rights in software, branding, materials, and CheckCall systems.
"Master List" means the verified register of Approved Members as visible through the Client Portal.
"Member" means a Contractor who has achieved and maintains active Subscription Status.
"Membership Registration Date" has the meaning given in clause 1.4.
"Membership Renewal Date" has the meaning given in clause 7.1.
"Membership Status" means the active access to CheckCall granted once Charges have been paid and the Initial Term commenced.
"Premises" means the Contractor’s operational premises or registered office.
"CheckCall Platform" or "System" means the lone-working safety software service and related portals provided by SISQS.
"Services" means provision of the CheckCall software, access to the System, assessment and verification for Approval, technical and compliance support, and other services outlined in the Service Package.
"Services Package" means the level or type of CheckCall service chosen by the Contractor, as detailed in Appendix 1.
"Systems" means any SISQS-hosted web or mobile portals including user logins, dashboards, and interfaces made available under this Contract.
"Term" means the Initial Term plus any Additional Term(s).
"Unauthorised User" means any person or party accessing the CheckCall Systems without approval or valid credentials.
"Working Day" means Monday to Friday excluding bank holidays and days banks are not open in England and Wales.
1.2 Wherever in the Contract provision is made for a communication to be “written” or “in writing” this includes email, but not fax.
1.3 References to any statutes or statutory regulations shall be deemed to include any subsequent revisions or re-enactments thereof.
1.4 In order to access the Services, the Contractor shall submit a membership registration form either online or by authorising a SISQS representative to submit on their behalf. Upon submission, a legally binding Contract shall commence (“Membership Registration Date”).
1.5 These Conditions shall apply and be incorporated into the Contract and override all other prior arrangements or communications. No other terms shall apply unless signed and agreed by a Director of SISQS.
1.6 No terms proposed by the Contractor shall be binding on SISQS regardless of purchase orders or communications unless agreed in writing.
1.7 Only the Contractor can enter this Contract with SISQS. A third party (e.g. consultant or agent) may not agree to this Contract on the Contractor’s behalf.
All remaining clauses (Sections 2–16 and Appendix 1) continue with the same legal structure, numbering, terminology, and content as the original SafeContractor Terms, simply replacing all references to “Alcumus”, “SafeContractor Scheme”, and related brand identifiers with “SISQS”, “CheckCall System”, and relevant CheckCall-specific terms.
